Legal agreement governing the use of the DigyBot platform
IMPORTANT NOTICE: By accessing and using this website and the services offered, you agree to be legally bound by these terms of service.
You agree to maintain the confidentiality of all content you access through this site and the services it offers. In particular, You agree that:
- •You will take appropriate technical and administrative measures to protect the content you obtain through the use of the site and the services it offers.
- •You also agree not to post, publicly disclose or disseminate any job offer you become aware of through our site or service.
- •Please note that this agreement is subject to change at any time.
- •The user must respect at all times the terms and conditions established in these general conditions of use of the portal.
- •The user expressly states that they will use the portal diligently and assuming any liability that may arise from non-compliance with the rules.
Interpretation and Definitions
Interpretation
Words with initial capital letters have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or plural.
Definitions
For the purposes of these Terms and Conditions:
"Affiliate" means an entity that controls, is controlled by or is under common control with a party, where "control" means ownership of 50% or more of the shares, equity interest or securities entitled to vote for election of directors or other managing authority.
"Account" means a unique account created for You to access our Service or parts of our Service.
"Company" (referred to as "the Company", "We", "Us" or "Our" in this Agreement) refers to Digyto Solutions S.A. de C.V. and/or Batabita Fintech SAPI de CV, based in Puebla, Mexico.
"Device" means any device that can access the Service such as a computer, a cellphone or a digital tablet.
"Feedback" means feedback, innovations or suggestions sent by You regarding the attributes, performance or features of our Service.
"Free Trial" refers to a limited period of time that may be free when purchasing a Subscription.
"Promotions" refer to contests, sweepstakes or other promotions offered through the Service.
"Service" refers to the DigyBot Platform, accessible from https://digybot.io
"Subscriptions" refer to the services or access to the Service offered on a subscription basis by the Company to You.
"Terms and Conditions" (also referred as "Terms") mean these Terms and Conditions that form the entire agreement between You and the Company regarding the use of the Service.
"Third-party Social Media Service" means any services or content (including data, information, products or services) provided by a third-party that may be displayed, included or made available by the Service.
"You" means the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.
Acknowledgment
These are the Terms and Conditions governing the use of this Service and the legal agreement between You and the Company. These Terms set out the rights and obligations of all users regarding the use of the Service.
Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms and Conditions. These Terms apply to all visitors, users and others who access or use the Service.
By accessing or using the Service You agree to be bound by these Terms and Conditions. If You disagree with any part of these Terms then You may not access the Service. You represent that you are over the age of 18. The Company does not permit those under 18 to use the Service.
Your access to and use of the Service is also conditioned on Your acceptance of and compliance with the Privacy Policy of the Company. Our Privacy Policy describes Our policies and procedures on the collection, use and disclosure of Your personal information when You use the Application or the Website and tells You about Your privacy rights and how the law protects You. Subscriptions
The Service or some parts of the Service are available only with a paid Subscription. You will be billed in advance on a recurring and periodic basis (such as monthly or annually), depending on the type of Subscription plan you select when purchasing the Service.
At the end of each period, Your Subscription will automatically renew under the exact same conditions unless You or the Company cancel it.

Additional Consumption
Any consumption that exceeds the limits established in the contracted plan (voice minutes, agents, channels, etc.) will be billed according to current rates.

Billing and Payments
All published prices are expressed in United States dollars (USD). When purchasing any subscription plan or additional service, You agree to provide truthful, complete and updated billing information, including full name, address, phone number and valid payment method.
Billing Cycle
- •Subscription billing is done in advance, either monthly or annually, depending on the selected plan.
- •In the case of additional services, payments may be made in a single payment or as agreed between the parties.
- •The charge corresponding to the contracted plan and services will appear reflected in your monthly invoice.
Payment Options
Stripe
For recurring payments via credit or debit card, enabled internationally.
SPEI
Exclusive for customers in Mexico who require the issuance of a tax invoice. RFC and current Tax Status Certificate required.
Failed Payments
In case the automatic payment fails, the Company will issue an electronic invoice with the deadline to make the manual payment. Failure to pay may result in suspension of the Service until the situation is regularized.
Fee Changes
The Company reserves the right to modify the prices of its plans and services at any time. Any change will take effect at the end of the current subscription period, and will be notified with reasonable advance notice.
Refunds
Unless otherwise provided by applicable law, all payments made for subscriptions and services are non-refundable. The Company may, in exceptional cases and at its sole discretion, consider refund requests on a case-by-case basis.
WhatsApp Business API
The integration of the WhatsApp Business API on the DigyBot platform enables automated and personalized communication with end users through conversational agents powered by artificial intelligence.
Licensing and Costs
- •Each WhatsApp account integrated with DigyBot has a monthly cost of $120.00 USD.
- •A minimum contract of 12 months is required for each enabled number.
- •3% commission on total conversations, based on Meta costs.
Conversation Types
Service
Conversations initiated by the user to resolve doubts or receive assistance.
Utility
Transactional messages or updates on ongoing processes.
Authentication
Identity verification through temporary codes.
Marketing
Promotional or informational messages initiated by the company.
Free Conversations
Each account is entitled to up to 1,000 free service conversations per month, which reset at the beginning of each calendar month.

Technical Support and SLA
The DigyBot platform includes structured technical support to ensure operational continuity. Support channels include email (soporte@digybot.io), online chat and phone according to the contracted plan.

SLA and Availability
The Company commits to maintain a minimum availability of 99.9% monthly, excluding scheduled maintenance notified 5 days in advance.
Credits for Non-Compliance: Between 99.0%-99.9%
Licenses and Intellectual Property
All rights, titles and interests related to the DigyBot platform, including software, interfaces, design, source code, algorithms, technical documentation and other contents, are and will remain the exclusive property of Digyto Solutions S.A. de C.V. and/or Batabita Fintech SAPI de CV.
Access to the Service does not imply the transfer of any intellectual or industrial property rights. Any reproduction, distribution, modification, reverse engineering, decompilation or unauthorized use is prohibited.
Any trademark, trade name, logo or design related to DigyBot is a registered or in-process trademark, and may not be used without express written authorization.
The site design, scripts, graphics, interactive functions, copyrights, inventions and trademarks are property of DIGYTO or are licensed to it, subject to corresponding laws.
Security and Data Protection
The Company is committed to protecting the confidentiality, integrity and availability of data handled through the DigyBot platform through technical, administrative and physical controls.

Limitation of Liability
To the maximum extent permitted by law, the Company will not be liable for direct, indirect, incidental, special or consequential damages, including loss of revenue, data, use or goodwill, resulting from:
- •The use or inability to use the DigyBot platform
- •Changes or interruptions to the Service
- •Unauthorized access or alteration of data
- •Statements or conduct of third parties
The total liability of the Company will be limited to the amount paid by You during the last three (3) months, or $100 USD if there has been no payment.
Modifications to Terms
The Company reserves the right to modify or replace these Terms at any time. In case of material changes, notification will be made through notice on the platform or email, at least thirty (30) days before they take effect.
By continuing to use the Service after the revisions take effect, You agree to be bound by the revised terms. If You do not accept the new terms, You must stop using the Service.
Applicable Law and Jurisdiction
These Terms shall be governed in accordance with the laws of the United Mexican States. For any dispute, You agree to submit to the jurisdiction of the competent courts of the city of Puebla, Puebla, Mexico.
If any provision is deemed invalid, the others will remain in full force. Failure to require compliance does not constitute a waiver to require it in the future.

Intellectual Property Rights
The design of the site and service together with the text created by DIGYTO, the scripts, graphics, interactive functions, copyrights, inventions and trademarks, service marks and logos contained therein are owned by or licensed to DIGYTO, subject to copyright, trademark, patent and other intellectual property rights under the corresponding laws.
DIGYTO reserves all rights to the service and site and any content thereof under this agreement. You agree not to use, copy or distribute any Content included in the site or through the service unless we have given you express written permission to do so.
